Vancouver, BC, Canada, December 10, 2020 – LEAF Mobile Inc. (TSX.V: LEAF), announces that the special meeting of its shareholders, originally scheduled for December 11, 2020, will be cancelled.
However, LEAF still intends to proceed with its previously announced acquisition of all of the outstanding securities of ESG (the “Acquisition“). LEAF intends to obtain minority shareholder approval by way of written consent instead of holding a meeting, as allowable under TSXV policies. Please refer to LEAF’s previous news releases dated October 7, October 26, November 11 and November 30, 2020 for further details.
Completion of the Acquisition is subject to a number of conditions, including but not limited to TSXV acceptance and majority of the minority shareholder approval. The Acquisition cannot close until the required shareholder approval is obtained. There can be no assurance that the Acquisition will be completed as proposed or at all.
